Terms of Service

These Terms govern your use of FilingPro (“the Service”), operated by LionsPro Tax LLC(“we”, “us”), an Authorized IRS e-file Provider. By creating an account or using the Service, you agree to these Terms.

1. What the Service does

FilingPro helps businesses collect Forms W-9, prepare Forms 1099-NEC and 1099-MISC, verify Taxpayer Identification Numbers, electronically file information returns with the IRS through the IRS IRIS Application-to-Application channel, and deliver recipient copies. Where you provide a signed Form 8821, we may also retrieve IRS transcripts on your behalf.

2. Not tax or legal advice

FilingPro is filing software, not a substitute for professional judgment. We do not provide tax, legal or accounting advice through the Service. You are responsible for determining what you are required to file and for the accuracy of what you submit. Automated features (including AI-assisted extraction from Forms W-9) propose values that you must review and approve before filing.

3. Your responsibilities

• Provide accurate, complete and lawful information for yourself and every recipient you report.
• Confirm you are authorized to submit each recipient's Taxpayer Identification Number and personal data.
• Review every form before authorizing it to be filed — you are the filer of record.
• Obtain a recipient's affirmative consent before their statement is delivered electronically.
• Obtain a properly signed Form 8821 before we retrieve any taxpayer's IRS transcripts.
• Keep your account credentials secure and promptly report any unauthorized use.

4. Filing deadlines and acceptance

You are responsible for submitting in time to meet IRS deadlines. We transmit what you authorize, but we do not control IRS processing. The IRS may reject a submission — most commonly for a TIN/name mismatch. We will surface the rejection and reason so you can correct and resubmit. We are not responsible for IRS penalties or interest arising from inaccurate data, late authorization, or rejections caused by information you supplied.

5. Fees

Pricing is per form, plus optional add-ons such as TIN Matching. Fees are shown before you authorize a filing and are charged at checkout. Because a filing transmitted to the IRS cannot be recalled, fees for submitted filings are non-refundable. If a form was never transmitted, contact us and we will review a refund request in good faith.

6. Acceptable use

• Do not use the Service to file fraudulent returns or to submit data you are not authorized to submit.
• Do not use TIN Matching for any purpose other than the information-return process it is legally restricted to.
• Do not attempt to breach, overload, reverse engineer or resell the Service without written permission.

7. Privacy and data

Our handling of your information — including encryption of Taxpayer Identification Numbers and retention of filing records — is described in our Privacy Policy, which is part of these Terms.

8. Intellectual property

The Service, including its software, design and branding, belongs to LionsPro Tax LLC. Your data remains yours; you grant us the limited licence needed to process and file it on your behalf.

9. Availability and disclaimers

The Service is provided “as is” without warranties of any kind to the fullest extent permitted by law. We do not warrant uninterrupted availability, and IRS systems have their own maintenance windows and seasonal closures outside our control.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim relating to the Service is limited to the fees you paid to us for the filings giving rise to the claim in the twelve months before the claim. We are not liable for indirect, incidental or consequential damages, including lost profits.

11. Termination

You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being used unlawfully. Records we are required to retain will be kept as described in the Privacy Policy.

12. Governing law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-law rules.

13. Changes

We may update these Terms; we will revise the “Last updated” date and, for material changes, notify account holders. Continued use after changes take effect constitutes acceptance.
